WARRANTY AND DISCLAIMER AGREEMENT

The Parties herein, identified as VOYTEK, INC., a/k/a “Voytek Medical” and You, the Purchaser, hereby agree to the following, for good and valuable consideration, which is hereby acknowledged. You have requested to purchase various medical equipment. By your acceptance of the equipment, you agree that you have been specifically advised as to the proper usage of the equipment, as follows:

 

Voytek Medical specializes in cost-saving products, more specifically in the design and manufacturing of cable management and security systems for medical devices. Removable medical device accessories are expensive and require constant replacement due to loss or misplacement. Voytek Medical has designed its product lines to secure these accessories without voiding warranties or modifying equipment. Voytek Medical has designed its products to protect the following but not limited to, Non-Invasive Blood Pressure Hoses, Invasive Blood Pressure Cables, EKG/ECG Cables, SpO2 Cables, Temperature Cables, Cardiac Output Cables, Ultrasound Probes, Bedside Remotes / Speakers, and any other item that needs to be secured.

 

RETURN / EXCHANGE POLICY

We do not accept returns or exchanges unless the item you purchased is defective. If you receive a defective item for a replacement, please contact us at sales@voytekmedical or (800) 262-1670 with details of the product and the defect.

 

1 YEAR LIMITED WARRANTY

The manufacturer warrants these products to be free from defects in workmanship and materials, under normal use and conditions, for a period of one (1) year from the original invoice date. Shipping and handling fees are to be paid for by the customer. The manufacturer agrees, at its option during the warranty period, to repair and defect in material or workmanship or to furnish a repaired or refurbished product of equal value in exchange without charge (except for a fee for shipping, handling, packing, return postage, and insurance which will be incurred by the customer). Such repair or replacement is subject to verification of the defect or malfunction and proof of purchase as confirmed.

 

WARRANTY EXCLUSIONS AND DISCLAIMERS

Our warranty does not include:

• Any condition resulting from other than ordinary wear or any use for which the product.

• was not intended, such as use in rental or contract trade.

• Any condition resulting from incorrect or inadequate maintenance or care.

• Damage resulting from misuse, abuse, negligence, accidents or shipping damage.

• Dissatisfaction due to buyer’s remorse.

• Normal wear and tear.

• Damages incurred during assembly or maintenance.

 

Voytek, Inc., specifically advises that misuse of the equipment can result in a strangulation hazard. You understand that you are to use the equipment only as specified, and not use the equipment with any patients, or in any situations, where strangulation may occur. Please consult your facilities Quality and Risk Management team to identify locations where patients may be at risk of harming themselves, either intentionally or unintentionally. Refrain from installing Voytek Inc. products in those identified locations. Any use than other than specifically identified, is disclaimed by Voytek, Inc.

 

INDEMNIFICATION

By your acceptance of the equipment, you agree to indemnify and hold Voytek, Inc, and their subsidiaries, affiliates, officers, agents, employees, volunteers, shareholders, board members, successors, assigns, heirs, executors, and administrators, harmless from and against any and all actions, causes of action, suits, debts, dues, sums of money, accounts, reckonings, bonds, bills, specialties, covenants, contracts, controversies, agreements, promises, variances, trespasses, damages, judgments, extents, executions, claims, and demands whatsoever, in law, admiralty or equity, whatsoever, that may result from any injury, abuse, damage, loss, trauma, wound, affliction, discomfort, and/or wrong from misuse of the equipment. You agree to be responsible for any and all damages, judgment, findings, holdings, determinations, settlement costs, litigation costs, attorneys' fees, disbursements, expenses, fines, and penalties of every kind and nature.

 

MISCELLANEOUS

You warrant and represent that you have full power and authority to enter into this Agreement, and are under no disability or prohibition that would prevent the performance of the obligations hereunder. This agreement constitutes the entire understanding between the undersigned parties, and supersedes any and all previous agreements, whether written or oral. If any provision of this agreement is held void or unenforceable, it shall not affect the enforceability of any other term or condition in this agreement, and shall not void any liability of any party to this agreement. A facsimile or electronic copy of this Agreement shall be deemed an original for all purposes, and may be signed in counterparts.
